These Terms of Service ("Terms") govern your access to and use of Kenkou Rhythm Lab's services, classes, website, and platform. By registering for classes, creating an account, or using our services, you agree to be bound by these Terms. Please read them carefully.
Acceptance of Terms
By accessing or using Kenkou Rhythm Lab's services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our services. We reserve the right to modify these Terms at any time, and your continued use after changes constitutes acceptance of the modified Terms.
These Terms apply to all users of our services, including members, class participants, corporate partners, studio licensees, and visitors to our website. Different service tiers or programs may have additional terms specific to those offerings.
Eligibility and Account Registration
You must be at least 13 years old to use our services. Participants between 13 and 18 years old must have parental or guardian consent. When you create an account, you agree to provide accurate, current, and complete information and to maintain and update this information to keep it accurate and current.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized access or use of your account. We are not liable for any loss or damage arising from your failure to protect your account information.
Membership Plans and Class Packages
We offer various membership plans and class packages with different terms, benefits, and pricing. Membership fees and package prices are subject to change with advance notice. Monthly memberships automatically renew unless canceled before the renewal date. Class packages expire according to their specified validity period and are non-refundable after purchase.
Memberships are personal and non-transferable. You may not share your membership or class package with others. Class bookings are subject to availability, and we reserve the right to limit class sizes for safety and quality purposes. Cancellations must be made according to our cancellation policy to avoid forfeiture of class credits.
Payment Terms and Billing
You agree to pay all fees associated with your membership or class packages. Payment is due at the time of purchase or according to your membership billing cycle. We accept payment methods as indicated on our platform. By providing payment information, you authorize us to charge the applicable fees to your payment method.
For monthly memberships, you authorize recurring charges until you cancel your membership. If payment fails, we may suspend your access to services until payment is resolved. You are responsible for all taxes associated with your purchases. We reserve the right to change our pricing with 30 days' notice to existing members.
Cancellation and Refund Policy
Monthly memberships may be canceled at any time, with cancellation taking effect at the end of the current billing period. No refunds will be provided for partial months or unused portions of memberships. Class packages are non-refundable once purchased, but unused classes within their validity period may be used according to package terms.
To cancel your membership, you must notify us through your account settings or by contacting customer support. Cancellations must be submitted at least 48 hours before your next billing date. Class cancellations must be made at least 24 hours in advance to receive credit; late cancellations or no-shows result in forfeiture of class credits.
Health, Safety, and Assumption of Risk
Participation in our classes involves physical activity that carries inherent risks. By participating, you acknowledge and assume these risks and agree that you are in good physical health and have no medical conditions that would prevent safe participation. You are responsible for consulting with your physician before beginning any exercise program.
You must follow all instructor guidance and facility rules. You agree to inform instructors of any health conditions, injuries, or limitations that may affect your ability to participate safely. We reserve the right to refuse service or terminate participation if we believe your participation poses a risk to yourself or others. You release Kenkou Rhythm Lab from liability for injuries or health issues arising from your participation.
Wearable Devices and Data Tracking
Our platform integrates with wearable devices to track fitness metrics and progress. By connecting a wearable device, you authorize us to collect and process the fitness data transmitted by your device. You are responsible for the accuracy of data from your device and for maintaining your device according to manufacturer specifications.
We use fitness data to provide personalized insights, track progress, and improve our programs. Data collection and use are governed by our Privacy Policy. We are not responsible for technical issues with third-party wearable devices or data synchronization problems. You may disconnect your device at any time through your account settings.
Intellectual Property Rights
All content, materials, and intellectual property associated with Kenkou Rhythm Lab, including our name, logo, class choreography, instructional materials, videos, photographs, music playlists, training curricula, and website content, are owned by or licensed to us and protected by copyright, trademark, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any of our content without express written permission. Your use of our services grants you a limited, non-exclusive, non-transferable license to access and use our platform for personal, non-commercial purposes only.
Studio Partnership and Licensing
Studios interested in licensing our curricula must enter into a separate licensing agreement. Licensing terms, fees, training requirements, and territorial restrictions are defined in individual licensing agreements. Licensed studios must maintain quality standards, follow our methodologies, and comply with brand guidelines.
Unauthorized use of our name, methods, or materials by studios or instructors constitutes infringement of our intellectual property rights. We reserve the right to terminate licensing agreements for non-compliance with terms or quality standards. Licensed partners receive ongoing support, updated curricula, and marketing materials as outlined in their agreements.
Corporate Wellness Programs
Corporate wellness programs are governed by separate agreements between Kenkou Rhythm Lab and the employer. Employee access and participation are subject to the terms of the corporate agreement. Employers are responsible for communicating program details and any restrictions to their employees.
Individual employees using corporate programs must comply with both these Terms and their employer's policies. Corporate program benefits may differ from individual memberships. We may share aggregate participation and wellness data with employers as specified in corporate agreements, in compliance with our Privacy Policy.
User Conduct and Prohibited Activities
You agree to use our services responsibly and in compliance with all applicable laws. Prohibited activities include harassing or discriminating against other members or staff, disrupting classes or services, using services for unauthorized commercial purposes, attempting to gain unauthorized access to our systems, sharing account credentials, engaging in fraudulent activities, and violating the rights of others.
We reserve the right to suspend or terminate accounts for violation of these Terms or for conduct we determine to be harmful to our community, business, or reputation. Termination may result in forfeiture of memberships or class credits without refund.
Limitation of Liability
To the fullest extent permitted by law, Kenkou Rhythm Lab and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or other intangibles, arising from your use of or inability to use our services, even if we have been advised of the possibility of such damages.
Our total liability to you for all claims arising from or related to these Terms or our services shall not exceed the amount you paid to us in the twelve months preceding the claim. Some jurisdictions do not allow limitation of liability for certain damages, so these limitations may not apply to you.
Indemnification
You agree to indemnify, defend, and hold harmless Kenkou Rhythm Lab and its affiliates, officers, directors, employees, agents, and partners from any claims, liabilities, damages, losses, costs, or expenses, including reasonable attorneys' fees, arising from your violation of these Terms, your use of our services, your violation of any rights of others, or any breach of your representations and warranties.
This indemnification obligation survives termination of these Terms and your use of our services. We reserve the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense of such claims.
Dispute Resolution and Governing Law
These Terms are governed by and construed in accordance with the laws of Japan, without regard to conflict of law principles. Any disputes arising from these Terms or your use of our services shall be resolved through binding arbitration in Tokyo, Japan, in accordance with the rules of the Japan Commercial Arbitration Association.
You waive any right to participate in class action lawsuits or class-wide arbitration. However, if you are a resident of a jurisdiction that does not allow arbitration agreements or class action waivers, those provisions may not apply to you. Nothing in these Terms limits our right to seek equitable relief or injunctive relief in court for intellectual property infringement or unauthorized use of our services.
Modifications and Termination of Services
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice. We may also impose limits on certain features or restrict access to parts or all of our services without liability. We are not liable to you or any third party for any modification, suspension, or discontinuation of services.
In the event of significant service changes affecting your membership benefits, we will make reasonable efforts to provide advance notice and may offer alternatives or prorated refunds at our discretion. We may terminate or suspend your access immediately, without notice, for violation of these Terms or for any conduct we determine to be harmful or inappropriate.
